A registered address usually handles registration, mail and the records interface. It is not automatically an actual office, tax residence, a PE, economic substance or permission to carry on every activity. The ten jurisdictions have to be routed according to their own legal sources and the actual operating facts.
KEY TAKEAWAYS
Key takeaways
- Use an eight-column address purpose card to record the registered office, service, records, public register, licensing, employer payroll and labour, workplace, and tax, PE and economic substance separately.
- The address rules for Hong Kong, Singapore, Malaysia, the United Kingdom, Canada, the United States, China, the BVI, Cayman and Seychelles cannot be extrapolated from one to another.
- Where there are employees, client delivery, stock, production or a regulated activity, the actual location needs separate checks on licensing, planning, tax, labour and work permits.
- Not having a traditional office does not automatically rule out PE or substance questions, and having a registered office does not automatically create tax residence, a PE or a licence.
- Obtain evidence on receipt, records, public register, lease, premises, personnel and change responsibility before signing, and run a six-line linkage check on any move.
- MANPRPOWER LIMITED provides registration coordination, document preparation or partner-agency support only and does not guarantee registration, account opening, tax, PE, economic substance or licensing outcomes.
A registered address is a statutory interface, not a real office
When comparing ten jurisdictions of incorporation, start by clearing up a common misunderstanding: the registered office, registered address or registered agent address mainly handles company registration, statutory notices and the records interface. It is not the company's own office, the place where directors actually manage, the employees' workplace, a warehouse, a business licence address or proof of tax residence. The US Small Business Administration also links location choice to taxes, zoning, regulation and licensing, which shows that the address on incorporation documents and the actual operating location have to be checked separately. SBA: Pick your business location
Nor is the reverse true: not having a traditional office does not automatically mean there is no PE or substance issue. The OECD discussion of permanent establishment looks at a combination of facts such as a fixed place of business, a place of management, a branch or an office; contract negotiation, people, equipment, delivery and continuity can also change the analysis, and in the end the applicable tax treaty and local law govern. OECD: Model Tax Convention 2017 This article therefore does not equate any address directly with an office, tax residence, PE, economic substance or lawful conduct of every activity.
The same address purpose card is used below to compare Hong Kong, Singapore, Malaysia, the United Kingdom, Canada, the United States, China, the BVI, Cayman and Seychelles. What you have to decide is not which address is cheap, but what purpose each address serves, who can produce the evidence, and which obligation is triggered by a move.
Eight columns: write down what the address is for
Before signing, split the same project into eight columns. If any column cannot be written clearly, do not substitute the provider's single "registered address" line for it:
- Registered office: the statutory address, place of registration or corporate domicile required by company law; start with whether it must be in that jurisdiction and whether a physical place for service is required.
- Statutory service: who receives court documents, government notices and regulatory correspondence, when they are passed on and how originals are kept. Being able to receive mail is not the same as being able to complete statutory service.
- Company records: where member and shareholder registers, director records, resolutions, accounting records, charges and important documents are kept and who can retrieve them within the deadline; some jurisdictions allow another location, but require separate notice.
- Public register: which addresses, agents or officers are public, and whether the public sees the registered address, the registered agent address or the office address; the public register records a registration fact, not proof that an office was visited.
- Business licence and commercial registration: industry licences, local business registration, planning, fire or health approvals are usually judged by the actual activity and premises and are not completed automatically by a registered address.
- Employer, payroll and labour registration: where employees work, who the employer is, where pay is made from, and whether payroll withholding, social security, labour or work permits are triggered; the actual employment obligation cannot be ignored because employees do not appear at the registered office.
- Workplace and actual office: where people, equipment, reception, storage, production, installation or client delivery genuinely happen; a coworking space, home office, warehouse and client site can exist separately.
- Tax residence, PE and economic substance: management decisions, fixed premises, people, income sources, contracts and local activity have to be analysed independently. The Hong Kong Companies Ordinance treats the registered office, records and notices as company law matters, and China's market entity registration rules also handle the domicile or principal place of business and licensed business items separately. Hong Kong Companies Registry: Companies Ordinance Part 12 SAMR: Regulation on the Administration of Registration of Market Entities
Ten jurisdictions: one framework, different legal anchors
Hong Kong: the registered office and the records are two separate actions
A Hong Kong company must have a registered office in Hong Kong for communications and notices, and a change of address usually has to be notified to the Companies Registry within a set period. Company records also have storage location and change notification requirements, so a registered agent's receiving address cannot be written up as the actual operating office. Hong Kong Companies Registry: Companies Ordinance Part 12
A Hong Kong address card therefore needs at least three columns: registry mail, registers and accounting records, and the actual location of employees and clients. If you only need the Hong Kong company incorporated, start with Hong Kong company registration; if the team works in Hong Kong, check the lease, employees, business registration, industry licences and tax facts separately. The existing Hong Kong registered address and operating location guide is useful for checking the difference between coworking and an actual office.
Singapore: the registered office has a minimum availability requirement
Singapore's ACRA requires a company to maintain a registered office in Singapore that is open to the public for at least three hours during normal office hours on each prescribed business day, can be visited by the public and can receive communications and notices; address and office-hour changes also have an update deadline. ACRA: Common offences That means a single mailbox may not satisfy the availability requirement for a registered office.
ACRA's updating guidance also treats the registered office, office hours and the address where registers are kept as information that can be updated separately. ACRA: Updating entity information When choosing Singapore registration coordination, ask first whether the provider can prove opening, receipt, forwarding and record retrieval; then use the Singapore registered address and operating location guide to check whether the office, employees, client delivery and licensing are a separate set of facts.
Malaysia: the registered office and records can be separated, but notice is required
Malaysia's Companies Act 2016 requires a company to have a registered office in Malaysia that is open to the public during normal office hours and able to receive communications and notices, and a change of registered office also has a statutory notice period. The company's registers and documents are usually kept at the registered office, but the law allows some material to be kept elsewhere provided notice and updates are made as required. SSM: Companies Act 2016
So in Malaysia the question is not only whether a registered address exists; ask who keeps the records, whether they can be retrieved on review, and what business licence, local government planning, employment and tax requirements apply in the actual operating state or locality. Start with Malaysia registration coordination, then use the Malaysia registered address and operating location guide to settle the state and premises split.
United Kingdom: the appropriate address goes on the public register
A UK limited company's registered address must be a physical UK address in the same jurisdiction as the company's registration; it must be an appropriate address where documents will come to the company's attention and be forwarded, and a simple PO Box cannot be used. The address appears on the public register, and a qualifying provider address may be used. GOV.UK: Company address
Even so, a registered office on the public register is not automatically a trading office, an employees' workplace or the place of actual management. When preparing UK company registration, record the registered office separately from the trading address, tax correspondence, employees and licensing; the UK registered address and operating location guide works as a pre-signing address evidence checklist.
Canada: the federal registered office is not the operating anchor for every province
The registered office in federal incorporation material is the place where company records are kept and official documents are served. Corporations Canada: How to incorporate That conclusion settles the federal company law interface and does not automatically replace provincial extra-provincial registration, local licensing, tax, employment or actual office review.
Corporations Canada's public disclosure material also shows company information such as the registered office, so the address in the public database is a public register field, not a map of all the company's offices. Corporations Canada: Public disclosure of corporate information When choosing Canada company registration coordination, continue by listing the operating province, employee provinces, client delivery locations and warehousing; the Canada office location and registered address guide is useful for reviewing the federal and provincial lines.
United States: the state of registration and the state of operation can differ from the outset
In the United States, work out first whether the question is a state company, a federal tax status or compliance in the state where the business actually operates. In Delaware, for example, every entity must have a registered agent with a physical office in Delaware to receive service of process; the official FAQ makes clear that the registered office can be the same as the place of business or different. Delaware Division of Corporations: Registered agents FAQ
The actual operating location, by contrast, may bring state tax, local zoning, licensing, sales tax and employer registration. The SBA also notes that location affects taxes, zoning and regulation, and requires registration, tax and permit checks for the chosen location. SBA: Pick your business location Start with US company registration and then use the US state of incorporation and operating state address guide to list the registered agent, principal office, remote employees and delivery locations state by state.
China: the registered domicile is closer to the principal place of business
China's current Company Law links a company's domicile to the location of its principal office and requires lawful amendment when registration particulars, domicile or business scope change; licensed items within the business scope also require approval as prescribed. Company registration information is published to the public through the National Enterprise Credit Information Publicity System. SAMR: Company Law
The Regulation on the Administration of Registration of Market Entities requires material relating to the domicile or principal place of business and provides that a market entity in principle has only one domicile or principal place of business; local rules may add detail on clustered registration, cluster addresses and specific industries, and licensed items still have to be verified separately. SAMR: Regulation on the Administration of Registration of Market Entities A China address plan therefore cannot explain the real business with a cluster address alone. Start with China company registration coordination, then use the China registered domicile and actual office guide to check premises, people, licensing and tax.
BVI: registered office, agent, public search and substance are separate
A BVI business company must continuously have a BVI registered office and a registered agent; the agent's office maintains the memorandum and articles, the register of members and directors and filed documents, while the company still has to keep transaction and financial records. BVI FSC: Corporate structures A BVI public search report can show the registered agent, agent address, registered office, status and some historical records. BVI FSC: Searches of registered entities The agent address found publicly is not the company's actual business premises.
Where a company carries on an activity that is a relevant activity, the BVI Economic Substance Act also looks at direction and management in the BVI, qualified personnel, expenditure, premises and core income-generating activities; whether it applies depends on the activity category and the company's facts and cannot be judged from the registered office alone. BVI FSC: Economic Substance Act Where British Virgin Islands company registration coordination is needed, separate the registration infrastructure from substance, actual management and overseas activity; the BVI address and actual business location guide can be used for internal review.
Cayman: registered office, company type and economic substance are not one item
The Cayman registry's registered office guidance distinguishes a physical location from a mailing address and stresses that the registered office is for receiving notices and service; incorporation documents also record the registered office, objects, company type and capital. Cayman General Registry: Registered office FAQ Cayman General Registry: Incorporation
The Cayman economic substance law is a separate line of analysis, and the relevant activities may involve adequate physical presence, premises, equipment, full-time qualified personnel and reporting material; the registered office cannot be treated as the whole substance proof. Cayman International Tax Co-operation: Economic Substance Act Before choosing Cayman Islands company registration coordination, write down the company type, activity category, and where directors and personnel are located; the Cayman registered office, principal office and actual business location guide is useful for checking the boundary between the registered office, the principal office and economic substance.
Seychelles: the IBC address and the tax source still have to be separated
The current FSA legislative entry point for Seychelles IBCs provides the IBC Act and consolidated texts; before signing, reopen the current version from that official entry point to check the registered office, registered agent, records and amendment requirements. Seychelles FSA: IBC legislation A statutory interface like this is still not the same as employees, client hosting, warehousing or a local place of business.
The SRC's explanation of the tax system analyses source from facts such as activities carried on in Seychelles, goods situated in Seychelles or rights used locally, and treats PE and tax treaties as separate considerations; business and employee registration also have their own clocks. Seychelles Revenue Commission: Seychelles Tax System The Seychelles registered address, actual business, tax and licensing therefore need separate columns of evidence. Start with Seychelles company registration coordination, then refer to the Seychelles registered address and actual business location guide.
Pre-signing address evidence card: obtain eight kinds of evidence before paying
Make an evidence card for every address you plan to use, recording at least the following:
- Legal source: the company law provision, registry page, incorporation document or agent licensing material stating whether this is a registered office, a registered agent, a registered office address or an ordinary mailing address.
- Service test: the provider's physical address, opening and receiving hours, contact person, how originals are forwarded and the escalation process for court or regulatory documents; require one live receipt test.
- Records test: who controls the member, director, resolution, accounting and register records, whether the storage location can be evidenced, and who notifies the registered agent after a change; a promise of cloud backup is not enough.
- Public register: check first what the jurisdiction's public register shows, and keep the query date, name, status and address fields; flag the public address and the actual office separately.
- Licensing and premises: whether the business needs commercial registration, an industry licence, planning or zoning, occupancy, fire, health, insurance or a special approval; do not promise a client that trading can begin before the premises evidence exists.
- People and pay: each employee's actual place of work, the employer entity, the place of payment, labour registration, payroll withholding, social security or work permit owner; payroll and labour duties follow the real employment facts.
- Business facts: where the board and executives make decisions, and where people, equipment, warehousing, clients and contracts continuously appear; list the office, home office, client site and agent address separately.
- Change triggers: when a lease ends, an agent is replaced, the business moves, an employee joins, the business scope changes, delivery becomes cross-border or trading begins, who is notified, what is kept and when it is read back.
The UK requires an appropriate physical address, and BVI public search lists the agent and registered office separately; this is precisely why the address card should hold original evidence rather than one invoice. GOV.UK: Company address BVI FSC: Searches of registered entities
Relocation linkage checklist: changing an address is not just editing a website footer
Before a move, write down whether you are changing the registered office, the registered agent, the record storage location, or the actual office, warehouse or employees' workplace. Then read back along six lines:
- Company law line: prepare the resolution, the registry form, the effective date from the old to the new address and the service arrangement; do not treat the contract signature date as the date registration is complete.
- Records line: move or copy the member and director registers, resolutions, accounting records and charge documents, and test whether the new location can retrieve them within the statutory deadline; for jurisdictions that allow records to be kept elsewhere, confirm the notice has been filed.
- Public register line: update the registry, public register, bank KYC, invoices and external contracts, and keep old and new query screenshots or official receipts; the public address fields for Canada, the UK and the BVI cannot be judged from a web cache.
- Licensing line: if the new premises will have employees, clients, stock, retail, production or a regulated activity, redo the lease, planning, fire, health, insurance and industry licence review; a registered address change does not replace a premises change.
- Tax and employer line: check business registration, tax numbers, payroll withholding, social security, employer data and any PE or treaty effect with the local tax authority; employee workplace changes have to be recorded separately.
- Handover and evidence line: arrange a records handover between the old agent, the new agent and management, complete the tests for receipt, originals, access rights, client notices and incident escalation, and keep the dates, owners and open items.
Hong Kong, Singapore and Malaysia all write address or record location changes into company law or registry processes; on a move, read the corresponding jurisdiction's original text rather than applying one place's deadline to the other nine. Hong Kong Companies Registry: Part 12 ACRA: Updating entity information SSM: Companies Act 2016
Rules for splitting the ten jurisdictions: choose by the combination of facts, not the price of an address
- Only shareholding, investment or mail, with no local team: check the registered office, agent, records and public register first, and do not claim a local office or tax substance directly; then analyse PE and tax according to where the company is actually managed.
- Hosting clients, holding stock or delivering continuously locally: review the workplace, lease, planning or zoning, fire, industry licence, insurance and employee lines together, and do not accept a verbal promise that a registered address can replace a trading address.
- Cross-border remote team: check labour, payroll, social security, work permits, employer registration and fixed-premises risk separately in each country where employees actually work; one state or country of registration cannot cover every place of work.
- Relevant activity or a regulated business: substance rules in the BVI and Cayman, and licensing requirements for finance, virtual assets, insurance or gaming, have to be proved item by item under the current rules of that jurisdiction's authority, and a coworking photograph cannot stand in for evidence of people, management, equipment or core activities. BVI Economic Substance Act Cayman Economic Substance Act
- The address is for marketing or letters, not for operations: fill in the registered office, mailing address, principal place, trading address and tax residence separately in contracts, bank forms, client questionnaires and the website; where a form gives only one address field, attach an explanation rather than guessing.
Red flags: pause signing and verification when one appears
- The provider offers only a PO Box, a hotel or an address that cannot be independently verified, yet claims it satisfies every registered office, service and licensing use.
- The contract has no responsible person for receipt times, forwarding originals, escalation of court or regulatory documents, and record retrieval.
- The other side says a registered office automatically brings an office, employees, tax residence, PE, a bank account or every licence.
- The registered agent, company status or address shown on the public register does not match the contract, invoice or incorporation documents.
- The business needs warehousing, retail, manufacturing, client hosting or a regulated service, but the other side refuses to provide a lease, planning, occupancy, fire or licence checklist.
- Remote employees work in several countries but only one state of registration's payroll, labour and work permit plan is prepared.
- An agent change or relocation edits only the website footer, with no resolution, registry receipt, records handover or live receipt test.
- The other side asks you to treat "no office, therefore no PE" or "registered address, therefore lawful trading" as the sole tax or compliance conclusion; absolute statements like this should go back to a local professional for review. OECD: Model Tax Convention 2017
The final operating boundary
The acceptance sentence for an address plan can be very simple: is this address for registration, service, records, management, employees' work, client delivery, warehousing, licensing, or tax and economic substance evidence? Who can produce the proof? After a change, who notifies which authority?
If the only answer is that the provider can supply a registered address, with no control of records, actual activity, people locations, lease, premises licensing, tax and change evidence, the plan is not finished. You can start from the registration guide for the relevant region above, then have the address purpose card read back by the current agent and by legal, tax, employment, immigration and industry professionals in the relevant jurisdictions. MANPRPOWER LIMITED provides registration coordination, document preparation or partner-agency support only; the specific legal, tax, employment, immigration, banking or licensing judgement is reviewed by qualified professionals, and registration, account opening, tax, PE, economic substance or licensing outcomes are not guaranteed.
