Can foreigners wholly own a Singapore company?

The company registration rules allow overseas shareholders, but the company still needs at least one director who meets the local residence requirements; applicants who are overseas usually need to entrust CSP.

Why do some applications take 14–60 days?

If the application is referred to other competent authorities for review, ACRA advises that it may take approximately 14–60 days; this is different from the majority of simple applications that are approved shortly after payment.

What is the minimum number of shares that must be issued?

ACRA Bizfile guidance requires at least one issued share. The actual share-capital amount and currency should reflect business, banking and investment arrangements.

Can a company secretary also be the sole director?

This arrangement should not be made directly. The secretary must meet the qualification requirements, and the CSP shall verify in accordance with the Companies Act whether the sole director can serve as the company secretary at the same time.

What are the differences between common subjects, and how should they be selected?

Companies, EPCs, public companies, and LLPs have different governance and ongoing duties; ordinary commercial clients usually start by comparing a Pte. Ltd. Local directors, tax residency, shareholdings, nominee arrangements, and licences should be reviewed for the project by a Singapore CSP and legal and tax advisers.

  • Private Company (Pte. Ltd.): A private company limited by shares and the most common Singapore company form for ordinary business. Suitable for trading, technology, consulting and regional activities. It is commonly governed through shares, members and directors.
  • Exempt Private Company: A private-company category with no more than 20 shareholders that meets shareholder-composition rules. Suitable for private companies with a simple shareholder structure. It is a private-company category that meets shareholder-number and composition conditions, rather than a new general entity separate from a Pte. Ltd.
  • Public Company: May be a company limited by shares or by guarantee, suitable for a larger shareholder base, public fundraising, or non-profit arrangements. Suitable for major financing or public-purpose organisations: public companies limited by shares and public companies limited by guarantee serve different purposes, so financing and public-purpose projects must be designed separately.
  • Limited Liability Partnership: It is not a company, but a partnership structure with distinct legal-liability features. Suitable for comparing professional services and partnership operations. An LLP is a partnership structure with separate legal liability, not a company.
What must be considered together with the registration route and local arrangements?

Resident directors, registered address, company secretary, controllers and nominee arrangements should be clearly prepared for the actual business before a Bizfile submission.

  • Local Company · Pte. Ltd. or another company type: Choose the company type based first on shareholder numbers, funding, liability and purpose; an LLP is an alternative operating structure, not a company. Type, share capital and constitution: prepare the entity type, business activities, FYE, members, share capital and governance documents. Annual Return and company records: plan AGMs, Annual Returns and tax matters around the FYE and entity type.
  • Resident director · Incorporation and ongoing requirements: At least one director must meet the local-residency requirement; shareholder nationality and director residency are separate issues. Directors and position holders: prepare identity, address, consent to act, and Bizfile endorsement. Ongoing compliance: when directors change, ensure the company continues to meet the local-residency requirement.
  • CSP, registered address, and secretary · Foreign applications and local governance: Overseas applicants will usually need to proceed through a CSP and arrange a Singapore registered office; a secretary must be appointed within 6 months of incorporation. CSP and local address: confirm the service provider, address, contact person and post-incorporation secretary arrangements. Secretary and auditor deadlines: appoint a secretary within 6 months and an auditor within 3 months, unless an exemption applies.
  • Complex or referred applications · ACRA review route: Complex applications can take up to 15 working days; where review is referred to another authority, it usually takes about 14 to 60 days. Business-activity statement: set out products, customers, receipts and payments, owners, and activities that may trigger referral. Post-incorporation operating matters: business accounts, tax, and industry licences are not outcomes of Bizfile incorporation.

What arrangements are worth knowing in advance before the company is put into use?

A private company limited by shares, or Pte. Ltd., is the most common form for ordinary business. Overseas foreign applicants generally need to engage a Corporate Service Provider.

  • The Pte. Ltd. route may suit ordinary business: A private company limited by shares is a common choice, but the legal nature of an EPC, Public Company, and LLP differs.
  • Resident director as a prerequisite: The company must continuously maintain at least one director who meets Singapore local-residency requirements.

Can a company begin operating immediately after incorporation?

Where no additional licence is required, operations may begin after the necessary follow-up matters are completed. Regulated, import-export, employment-related and particular-sector businesses may still need licences and accounts.

When were the company secretary and auditor appointed respectively?

A company secretary is usually appointed within six months after incorporation; an auditor is usually appointed within three months, except where the company qualifies for audit exemption.

After company formation, is a bank or payment account guaranteed to be approved?

No guarantee. Banks and payment institutions independently review identity, beneficial ownership, business, source of funds and risk.

Is a certificate of incorporation the same as a sector business licence?

No. Financial, payment, investment, import/export, employment, and other regulated activities still require separate assessment of permits and registrations based on the actual business.

How should ongoing maintenance and a filing calendar be arranged after incorporation?

After incorporation, registration information, company records, annual filings and tax should be arranged separately. The following list reflects matters that need continuing follow-up under the current service materials.

  • Three months after incorporation · Auditor appointment or exemption assessment: A company must appoint an auditor within three months, unless it qualifies for an applicable audit exemption. The CSP and accounting professionals confirm the exemption conditions.

  • Fiscal year · AGM, Annual Return, and tax: Arrange company annual returns and corporate tax matters according to the FYE, company type and tax rules. GST, payroll and licences are handled separately according to the actual business.
  • Event triggers · Controllers, nominees, and company information: Update registrations when directors, members, secretaries, registrable controllers or nominee arrangements change. Recheck when the registered address or business activities change as well.

What other easily overlooked obligations or restrictions are there?

Check the following items one by one against the company's actual business and operating location.
