IBC should be confirmed by the licensed ICSP after completing KYC; local companies shall be subject to the acceptance time of the Registration Division at the current time, and the two cannot be used interchangeably.
Can a local-company three-working-day timeframe be applied to an IBC?+
No. 3 business days is the Registration Division's standard for local companies; IBC is estimated by the licensed ICSP according to the current FSA standards after completing KYC.

Four questionsCan IBC operate in Seychelles?+
Whether the company can carry out specific activities is still subject to the constraints of taxation, substance, industry licenses and other applicable laws.
What are the differences between common subjects, and how should they be selected?+
Companies, PCCs, limited partnerships, and foundations serve different purposes and should not all be called ordinary offshore companies. IBCs, PCCs, foundations, or regulated activities should be assessed for their intended use by a licensed ICSP, lawyer, and tax professional.
International Business Company: A common cross-border company type registered by the FSA and formed through a licensed ICSP. Suitable for assessing ordinary international holding and cross-border business; this common cross-border form must be handled and maintained through an FSA-licensed ICSP.
Local Company: Register with the Registration Division under the Seychelles domestic-company regime. Suitable for local Seychelles operations: follow the Registration Division’s local-company route and do not apply the IBC process.
Protected Cell Company: It can separate assets and liabilities but must meet additional statutory requirements. Suitable for professionally designed asset-segregation structures. The structure and eligibility must be confirmed by a licensed professional.
Foundation: A Foundation is a statutory structure distinct from a company, IBC, and limited partnership, so its governance and purpose must be designed separately. It may suit specially assessed holding or succession arrangements. Foundations, IBCs, local companies, PCCs, and limited partnerships are all different structures.
What must be considered together with the registration route and local arrangements?+
An IBC must be handled through an FSA-licensed ICSP; company formation and authorization to conduct financial, securities, insurance, or virtual-asset business are separate matters.
International Business Company · Cross-border IBC route: An IBC is handled through the FSA framework. Applicants must first engage a licensed ICSP and complete due diligence. ICSP KYC documents: prepare evidence for directors, shareholders, UBOs, address, business activity and source of funds. Agent, fees and records: continuously maintain a registered agent, annual fees, registers and accounting records.
Local Company · Seychelles local operations: Local companies must be prepared and filed through the Registration Division route; IBC agent requirements or timing cannot be applied. Local incorporation documents: prepare a cover letter, memorandum and articles, and director and registered-office details. Ongoing obligations: maintain the company in line with Registration Division requirements and applicable tax and business rules.
PCC or Foundation · Special governance and asset arrangements: PCCs, Foundations and Limited Partnerships are different structures and should be designed separately around assets, liability and governance objectives. Structure and governance brief: state the assets, participants, control, segregation purpose and business jurisdictions. Structure-specific maintenance: handle registers, records and fees under the selected law and service-provider requirements.
Virtual-asset service provider (VASP) · Separate FSA authorisation: Even after a company is incorporated, regulated virtual-asset services require separate FSA licensing review. VASP business description: explain products, customers, custody, transactions, fund flows, and service regions. Licensing and regulatory reports: before approval, do not describe a company certificate as a VASP operating licence.
What arrangements are worth knowing in advance before the company is put into use?+
An IBC is handled by an international corporate service provider licensed under the FSA system; a local company is registered by the Registration Division. Their timelines and requirements must not be mixed.
Clear separation between IBCs and local companies: Cross-border IBCs and local companies follow different supervisory routes, documents, and official processing approaches.
A licensed ICSP handles the IBC entry route: An IBC application must be completed through an FSA-licensed ICSP, which performs KYC and handles incorporation.
Bring UBOs and source of funds forward: Ownership, control relationships, business and source of funds can affect service-provider due diligence.
Ongoing retention of accounting and statutory records: An IBC must maintain reliable accounting records, underlying documents, and applicable registers.

No. IBC only proves the establishment of the company, and the regulated activities still need to apply for corresponding licenses separately.
Must an IBC keep accounting records?+
Required. The company must keep reliable accounting records and underlying documents in accordance with current laws and regulations. The specific methods of preservation and provision shall be confirmed by the licensed ICSP.
After company formation, is a bank or payment account guaranteed to be approved?+
No guarantee. Banks and payment institutions independently review identity, beneficial ownership, business, source of funds and risk.
Is a certificate of incorporation the same as a sector business licence?+
No. Financial, payment, investment, import/export, employment, and other regulated activities still require separate assessment of permits and registrations based on the actual business.
How should ongoing maintenance and a filing calendar be arranged after incorporation?+
After incorporation, registration information, company records, annual filings and tax should be arranged separately. The following list reflects matters that need continuing follow-up under the current service materials.
Ongoing · ICSP/agent and annual fees: An IBC continuously maintains licensed service providers, registration arrangements and applicable fees. A local company is maintained through its own separate route.
