Can non-US residents register a US company?

An LLC or C Corporation can usually be considered. Not having a US SSN/ITIN does not automatically mean that an EIN cannot be requested, but overseas application routes, owner taxation, and industry restrictions must be checked separately; non-resident aliens cannot directly be S Corporation shareholders.

How should an LLC and a C Corporation be chosen?

LLCs generally offer flexible management and federal tax classification. A C corporation is a separate taxpayer with a more standardised share and funding structure, and usually more formal governance and filing requirements. Can the registered agent address be regarded as the actual address of the company?

Not necessarily. A Registered Agent's primary role is to receive government and legal documents and it must be located in the formation state. Whether the agent's address may also be used as the actual business address, mailing address, or bank KYC address must be confirmed separately under the requirements of the state and relevant institutions.

After registering in one state, can I operate directly across the United States?

Not necessarily. If a business establishes a substantive operating connection in another state, Foreign Qualification may be required; a particular business may also require a federal, state, county, or city licence or permit. State-level company-formation documents are not a nationwide business licence.

What business foundations can a U.S. company establish?

Companies are generally incorporated under the law of a particular state. A popular state is not necessarily suitable for every business; an office, employees or continuing business in another state may also require foreign registration.

  • Contracting and operating entity: Use the company to contract with customers, employees, and suppliers, bear business liabilities, and keep personal and company records separate.
  • Equity and financing preparation: A Corporation has a more standardised share, director, and officer structure; an LLC can instead design its member and management arrangements around the project.
  • Financial and tax records: Keep records of income, expenses, payroll, capital contributions and company resolutions on an ongoing basis to support tax filings and due diligence by banks, investors or regulators.

Are EIN, SSN, and ITIN the same number?

No. An EIN identifies a business, while an SSN or ITIN is an individual tax identification number. A company normally completes state formation before applying for an EIN. An overseas responsible party without an SSN or ITIN must use the international submission method currently allowed by the IRS; do not assume an instant online application is available.
